End User License Agreement

This End User License Agreement ("Agreement" or "EULA") is a legal agreement between EzeAD Media Group Inc. ("Company", "EzeAD", "we", "us" or "our") and the individual or legal entity ("Customer", "User", "you" or "your") accessing, installing, subscribing to or using EzePanel software and related services.

EzePanel is a proprietary software platform developed and distributed by EzeAD Media Group Inc.

By registering an account, purchasing a subscription, installing or using EzePanel, you acknowledge that you have read, understood and agreed to this Agreement.

If you do not agree, you must not install or use EzePanel.

EzePanel, including its underlying software, source code, object code, architecture, interfaces, designs, functionality, documentation, proprietary technologies, branding and associated materials, is owned by or licensed to EzeAD Media Group Inc.

All intellectual property rights remain with EzeAD Media Group Inc. and its applicable licensors.

Purchasing an EzePanel subscription does not transfer ownership of the software or any intellectual property rights to the Customer.

The Customer receives a limited right to use EzePanel in accordance with this Agreement.

Nothing in this Agreement transfers ownership of EzePanel to a Customer, reseller, developer or third party.

Subject to payment of applicable subscription fees and compliance with this Agreement, EzeAD Media Group Inc. grants the Customer a limited, non-exclusive, non-transferable and revocable license to use EzePanel for its intended purposes.

The license is limited to the subscription level and authorized usage purchased by the Customer.

The Customer may not assign the license to another person or business, sublicense it, or resell it without prior written authorization. Moving an installation between servers under the same customer account is permitted only through the available license-transfer and server-IP controls, subject to the applicable plan and security limits. Such a move does not transfer ownership of the license to another customer.

Customers must not:

1. Copy, reproduce or distribute EzePanel software without authorization.
2. Sell, lease, rent, sublicense or redistribute EzePanel without written permission.
3. Reverse-engineer, decompile or disassemble the software except where such restrictions are prohibited by applicable law.
4. Attempt to obtain unauthorized access to source code, proprietary systems or development environments.
5. Remove copyright notices, trademarks or proprietary identifiers.
6. Create unauthorized derivative products using protected EzePanel source code or proprietary materials.
7. Circumvent subscription restrictions, licensing mechanisms or security controls.
8. Use EzePanel to develop or distribute malicious software.
9. Attempt to compromise the security or operation of EzePanel or its infrastructure.
10. Misrepresent ownership of EzePanel or its underlying technology.

Nothing in this Agreement prohibits activities that cannot legally be restricted under applicable law.

EzePanel is offered under subscription-based licensing arrangements.

Subscription fees, payment intervals, licensed server and hosting-account allowances, features and applicable limitations are displayed with the selected plan and during checkout. The commercial software license is separate from hosting packages created for downstream hosting accounts. A reseller-management feature does not itself authorize redistribution of the software or resale of EzePanel license keys.

The Customer is responsible for maintaining an active subscription and providing valid payment information.

Failure to maintain an active subscription may result in restrictions on panel management, updates or other licensed access, subject to applicable law and the purchased terms. License validation and cancellation are not instructions to delete customer-hosted websites, databases, files or email. Customers remain responsible for maintaining independent backups and lawful access to their own servers. Activation and ongoing validation can require the installation identifiers, public server IP, hostname, installed version and usage information described in the Privacy Policy.

EzeAD Media Group Inc. may provide software updates, improvements, security patches, modifications and new functionality.

The Company reserves the right to improve, modify or discontinue particular features where reasonably necessary for security, maintenance, compatibility or business operations.

Material changes affecting paid subscription services will be communicated as required by applicable law and contractual obligations.

EzePanel may incorporate or interact with third-party software, open-source components, hosting infrastructure, APIs and other technologies.

Such components may be subject to their own licensing conditions.

Nothing in this Agreement removes or overrides the rights granted under applicable third-party or open-source licenses.

Customers are responsible for:

• Maintaining the security of their accounts.
• Protecting login credentials.
• Maintaining appropriate server security.
• Ensuring their systems are properly configured.
• Maintaining independent backups of important information.
• Ensuring their use of EzePanel complies with applicable laws.
• Ensuring that they have authorization to access and administer the servers they manage.

Customers must immediately notify the Company of suspected unauthorized account access or security incidents affecting their EzePanel accounts.

The Customer acknowledges that EzePanel is licensed software.

No purchase or subscription grants ownership of:

• EzePanel source code.
• Proprietary software architecture.
• Original software designs.
• Proprietary functionality.
• Company trademarks or branding.
• Internal development documentation.
• Trade secrets and confidential technical information.

EzeAD Media Group Inc. may suspend or terminate a license where:

• The Customer materially breaches this Agreement.
• The Customer engages in unauthorized redistribution.
• The Customer attempts to compromise software security.
• The Customer engages in fraudulent or unlawful activity.
• Subscription payments remain unpaid.

Where reasonably possible, the Company will provide notice and an opportunity to remedy a breach before termination.

Immediate suspension may be necessary to protect systems, customers or infrastructure.

Termination does not eliminate payment obligations already incurred or rights and remedies arising before termination.

EzePanel is provided subject to the express warranties, if any, stated in the applicable subscription agreement.

To the extent permitted by applicable law, the Company does not guarantee uninterrupted or error-free operation or compatibility with every third-party server configuration.

Nothing in this Agreement excludes warranties or consumer rights that cannot legally be excluded.

To the maximum extent permitted by applicable law, EzeAD Media Group Inc. shall not be liable for indirect, incidental, special, punitive or consequential damages, including loss of profits, business interruption or loss of business opportunities.

The Company's aggregate liability arising from a claim relating to a paid subscription shall not exceed the subscription fees paid or payable by the Customer during the twelve months preceding the event giving rise to the claim.

This limitation does not apply where prohibited by law, including liability that cannot legally be limited or excluded.

Customers must not disclose confidential technical information, proprietary documentation, non-public source code or confidential development materials obtained through unauthorized access.

This section does not prevent lawful disclosures or disclosures required by law.

EzePanel may be accessed by customers internationally.

Customers are responsible for complying with applicable local laws and regulations governing their use of the software.

The Company does not authorize the use of EzePanel for unlawful activities.

This Agreement shall be governed by the laws of New Brunswick and the applicable federal laws of Canada, without excluding mandatory consumer protection rights applicable in the Customer's jurisdiction.

Subject to applicable law, disputes shall be brought before the courts having jurisdiction in New Brunswick, Canada.

EzeAD Media Group Inc. may update this Agreement from time to time.

Material changes will be communicated to Customers as required by applicable law.

Customers may be required to accept a revised Agreement before continuing to use affected services.

If any provision of this Agreement is determined to be invalid or unenforceable, the remaining provisions shall continue in effect to the extent permitted by law.

This Agreement, together with the applicable Terms of Service, Privacy Policy and other incorporated policies, constitutes the agreement governing the licensing and use of EzePanel.
